Executive Assistant Services Agreement
Services and Relationship: Bizzarro Agency LLC (“Bizzarro”) provides executive assistant services (“Services”) under a monthly retainer based on the plan purchased by the client (“Client”). The assigned executive assistant (“EA”) is an independent contractor engaged through Bizzarro and is not the Client’s employee. Service delivery is shared: the Client establishes priorities and provides direction, while Bizzarro provides oversight and quality control. The EA may support multiple clients.
Scope of Services: Services may include executive and personal assistance, calendar and inbox management, appointment and travel coordination, research, property searches, document and administrative support, vendor coordination, CRM management, and lead follow-up through calls, texts, and emails, as agreed. Prohibited requests include legal or financial advice, signing authority, illegal or unsafe activities, harassment, and other restricted tasks. The EA will not make purchases or incur expenses without prior written authorization from the Client or the Client’s designated approver.
Hours and Client Responsibilities: Services are available Monday through Friday, from 8:00 a.m. to 4:00 p.m. Eastern Time, excluding holidays, unless otherwise agreed in writing. After-hours work and backup coverage are not included unless separately agreed in writing. The Client agrees to provide clear instructions and meet online with the EA at least once per week to review priorities.
Billing: Time is billed in 10-minute increments. Clients may review time entries and task logs through their Airtable dashboard. Hours exceeding the plan’s monthly allotment will be billed at the plan’s applicable hourly rate. Unused hours expire at the end of each monthly billing cycle and do not roll over. Billing disputes should be directed to Bizzarro’s Chief Operating Officer.
Payment: Services are provided month-to-month and billed monthly based on the Client’s signup date. Bizzarro may change plan pricing and hourly rates at any time upon 30 days’ written notice. The Client may cancel Services before the new pricing takes effect. No setup fee or deposit is required. Payments are nonrefundable except where required by law. If payment is not received when due, Services will be suspended until the outstanding balance is paid.
Confidentiality and Security: Each party will protect the other party’s confidential information (“Confidential Information”) and use reasonable safeguards to prevent unauthorized access, use, or disclosure. Bizzarro and the Client may provide access to tools, accounts, and credentials as needed to perform the Services, and the Client authorizes such access for that purpose. Bizzarro will notify the Client within one hour after confirming a security incident involving Client data.
Calls and other communications may be monitored or recorded for quality-assurance purposes where legally permitted. The Client is responsible for obtaining any required consents and ensuring that communications conducted at the Client’s direction comply with applicable law.
Intellectual Property and Work Product: Bizzarro retains ownership of the templates, systems, processes, and work product created or used to provide the Services. During the term, the Client receives a limited license to use such materials for its internal business purposes. Bizzarro may reuse generalized, non-identifying knowledge, methods, and templates, provided that it does not disclose the Client’s Confidential Information.
Non-Solicitation: During the term and for 12 months afterward, the Client may not directly or indirectly hire or engage the assigned EA outside of Bizzarro. A violation may result in a conversion fee.
Disclaimers and Dispute Resolution: Services are provided on a best-efforts basis, and Bizzarro does not guarantee any specific result. Neither party will be liable for consequential damages. This agreement is governed by New York law. Any dispute will be resolved through binding arbitration in New York, New York, with each party responsible for its own attorneys’ fees.
Changes to Terms: Bizzarro may update these Terms and Conditions at any time. The Client’s continued use of the Services after the updated terms take effect constitutes acceptance of those changes. If the Client does not agree to the updated terms, the Client must discontinue the Services.
